Dear Prospective Cook's School Day Care Inc. Board Member:

Hello and good day. Thank you for your time and attention in considering our invitation to join the Cook's School Day Care Inc. Board of Directors.

It continues to be an exciting time for Cook's School Day Care Inc.'s three early learning and child care programs. Since 1985, our goal has been to provide a high quality service to the families of Northumberland County. I can confidently proclaim that our success is due to the professionalism and dedication of our Organization's early childhood education teachers, home child care providers, support staff and our Board of Directors members.

Our Organization is currently well positioned to continue to grow and succeed in fulfilling its mission:

"Cook's School Day Care Inc provides quality home and centre-based early learning and child care for the families in our community in a safe, engaging and inclusive environment that promotes friendship and life-long learning."

Cook's School Day Care Inc. has well-established plans and an exciting vision to help us to strengthen and sustain the organization. We are currently seeking enthusiastic, committed and service oriented individuals to serve on our Board of Directors to help us to make our plans a reality. We welcome the involvement of any interested parties, and are specifically seeking new members with the following skills and interests:

Strategic Planning Committee
(Evaluating current activities/participating in future planning for the organization)

Fundraising Committee
(Assist planning/implementing/evaluating fundraising events)

Legal professional
(Human resources, policies, liability)

Board Member Job Descriptions

Officers/Executive Committee And Directors

Together with other Members, the Board Member is legally and morally responsible for all activities of Cook's School Day Care Inc., including:

  1. Board membership, recruitment of new members, as well as, providing opportunities for Board development.
  2. The Executive Members (President/Co-Chairperson, Vice-President/Co-Chairperson, Secretary, and Treasurer) are responsible for hiring, termination, and evaluation of the Executive Director.
  3. Setting and reviewing the Organization's Mission Statement and Philosophy.
  4. Planning and evaluating short and long term goals.
  5. Ensuring the financial accountability of the Organization.
  6. Budget approval and review.
  7. Ensuring adequate funds are raised to support the Organization's Policies and Programs.
  8. Public relations, which includes awareness that Board Members are always emissaries of the Organization in the community.
  9. Facilitating and maintaining cooperative actions with other Organizations.
  10. Ensuring that the Organization and its Board meet all legal requirements.
  11. Ensuring that the Board and Organizational operations are adequate and appropriate.
  12. Ensuring strict confidentiality of all matters concerning the Organization.

Requirements:

  1. A demonstrated interest in the Organization's service goals.
  2. A representative of and advocate for not-for-profit child care.
  3. A willingness to expand one's knowledge of Board responsibilities through ongoing education and/or training.
  4. A willingness to represent the Organization in the community.

Time Commitment:

Regular Board Meetings: Once per month approximately two (2) hours each

Committee Meetings: As required and determined by the Committee

Special Meeting: As needed (ie. training, development, etc.)

Officers/Executive Committee Job Descriptions

President/Co-Chairperson
The President/Co-Chairperson is the Chief Executive Officer of the Corporation, and in that capacity will preside at all meetings of the Board of Directors and General Membership Meetings; in conjunction with the Vice-President/Co-Chairperson and Secretary, prepare the agenda for each meeting; and attest the minutes of each meeting. The President/Co-Chairperson shall be an Ex-Officio Member of all Standing and Ad-Hoc Committees.

Vice-President/Co-Chairperson
The Vice-President/Co-Chairperson shall carry out such duties as prescribed by the Board of Directors from time to time and shall be designated by the Board of Directors to assume the duties of the President/Co-Chairperson in the President's/Co-Chairperson's absence or inability to act.

Treasurer
The Treasurer shall be responsible for ensuring accurate accounts and shall present, in conjunction with the Administrative Assistant and the General Manager, Financial Statements at the regular meetings of the Board of Directors and perform other such duties as prescribed by the Board.

Secretary
The Secretary shall keep minutes of all meetings of the Board of Directors and members, and shall carry out other duties as prescribed by the Board and as set down in the Corporations Act. In conjunction with the President, Vice-President, and General Manager the Secretary shall prepare the agenda for each meeting.

The minutes of Board of Directors' meetings shall be made available to the Officers and Directors at least one week prior to the next scheduled meeting. The minutes of the Annual General Meeting or Special Meetings of the Membership must be available within one month following the meeting date.

Board Member Eligibility

A Board of Director member shall:

  • Be at least 18 years of age.
  • Be a member in good standing.
  • Not be an employee or contract position of the Corporation nor a family member of an employee or contract position of the Corporation.

Member In Good Standing

A member in good standing is:

  • A current service-user (parent/guardian) who abides by the Policies and Procedures of the Corporation.
  • A volunteer for the Corporation (including, but not limited to placement students).
  • A community individual or a community organization that supports the purpose of the Corporation.
  • Employees and contract positions are members in good standing by virtue of their employment or contract with the Corporation. Membership will cease upon termination of employment or contract by the Corporation.

Member Privileges

All members in good standing will have the right to:

  • Be elected to the Board of Directors. *
  • Be eligible to be elected, by the Board of Directors, to an Officer's position of the Corporation. *
  • Inspect all financial reports and minutes of the Corporation.
  • Attend Board meetings to observe.

* Exception:
Employees and contract positions of the Corporation are not eligible to be elected to the Board of Directors.

Cook's School Day Care Inc. Board Member Application Process

Applicants are required to complete the following:

  • The application form.
  • Criminal reference check forms for the Police Department and Children's Aid Society. Cook's School Day Care Inc. provides the forms.
  • The declaration form agreeing to abide by the Behaviour Management Policy of Cook's School Day Care Inc.
  • The declaration form agreeing to abide by the Confidentiality Policy of Cook's School Day Care Inc.
